Objectives:

• Manage legal relationships and processes as member of the China Legal Team of BASF and strategic advisor to Business;
• Drive and support Business projects and transactions in China;
• Ensure compliance including proper compliance training and case handling; and
• Manage corporate governance for BASF companies in China.

Main Tasks:
1. Legal Support and Services:

• Provide, with high degree of independence and responsibility, legal advice and solutions for the business and functions;
• Act as strategic partner to businesses and functions to create value by aligning business needs with legal optimization and effective compliance and risk management.
• Draft, review and negotiate a wide range of commercial contracts and other legal documents, including developing or improving standard BASF agreement formats.
• Legal lead on or support of country, regional and global M&A and investment projects of the BASF Group in China, including structuring of transactions / projects, due diligence, drafting, reviewing and negotiating transaction contracts, review of and managing necessary merger control notifications and post-merger integration, etc.
• Where required, manage the engagement and costs of external lawyers.
• Contact for legal issues with third parties, governmental and regulatory authorities, support applications to authorities for approvals and permits.
• Demonstrate knowledge, communicate and advise on relevant laws and regulations and assist their implementation;
• Report to supervisors and company management on all material legal matters, including compliance cases, major claims, projects and legal developments; and
• Provide legal support to business and service units on any legal and compliance matter and project that is assigned by supervisor.

2. Compliance and Corporate Governance:

• Enforce BASF's Compliance Program/ Code of Conduct to strictly comply with applicable laws, fundamental international standards and corporate policies and guidelines.
• Promote BASF's Code of Conduct as an ambassador and create effective awareness for compliance matters, including compliance trainings and workshops.
• Support the handling of hotline and other compliance cases.
• Support corporate governance processes.

• Education: Excellent law degree in Chinese law. International legal education and work experience would be a plus;
• Working Experience: At least 5 years' experience as an in-house legal counsel with an MNC or other reputable company or as a lawyer for a top-tier local or international law firm, with emphasis on commercial and corporate legal matters. Related experience in chemical / manufacturing industry would be a plus;
• Excellent legal professional skills including analytical, drafting, presentation and communication skills;
• Excellent English and Mandarin language skills (both in writing and speaking), international mindset;
• Able to work independently, "hands-on" and proactively with high intrinsic motivation;
• Provide sound business-oriented solutions and take clear and pragmatic positions in a highly-collaborative team environment;
• Proven ability to build relationships and engage confidently with stakeholders within a large geographic and functional matrix organization;
• Strategic perspective with an ability to see the overall picture;
• Ability to prioritize tasks and workload, driving deadline-driven tasks to completion in a timely manner;
• Computer literacy in standard applications; and
• Able to travel based on business needs.
